1 - Purpose

These terms and conditions govern sales by OGA SRL (share capital €50,000), Via Giannone 10, 20154 Milan, Italy, Milan Trade Register No. 1831017, VAT/Tax ID IT05558140967 (hereinafter "OGA"), of TERN bicycles and accessories on euwest.ternbicycles.com.

2 - Price

For orders shipped within the EU, all applicable taxes and duties are included at checkout. No additional charges will be applied on delivery.

The prices of our products are indicated in euros, inclusive of all taxes (VAT and other applicable taxes on the date of the order), unless otherwise stated, and excluding processing and shipping costs.

For orders shipped to countries outside the EU, you are the importer of the product(s) in question. Customs duties, other local taxes, import duties, or state taxes may be payable. These duties and amounts are not the responsibility of OGA. They are your responsibility, both in terms of declarations and payments to the relevant authorities in your country. We advise you to inquire about these matters with your local authorities.

All orders, regardless of origin, are payable in euros.

OGA reserves the right to modify its prices at any time, but the product will be invoiced based on the price in effect at the time the order is validated and subject to availability. The products remain the property of OGA until full payment is received.

Please note: as soon as you take physical possession of the ordered products, the risk of loss or damage to the products is transferred to you.

3 - Orders

You can place an order online at euwest.ternbicycles.com. The contractual information is presented in English and will be confirmed no later than the time your order is validated. OGA reserves the right to refuse to process a payment or confirm an order for any reason whatsoever, particularly in the event of supply issues or difficulties with the order received.

4 - Order Confirmation

Any order placed on euwest.ternbicycles.com implies acceptance of these Terms and Conditions. Order confirmation constitutes your full and unreserved acceptance of these Terms and Conditions of Sale. All data provided and the recorded confirmation will serve as proof of the transaction. Order confirmation will serve as your acceptance of the transaction carried out. A summary of your order information and these Terms and Conditions will be sent to you in PDF format via the email address used to confirm your order.

5 - Payment

By confirming your order, you agree to pay the indicated price. Payment is made by credit card through our secure system. Your card will only be debited when your order is shipped. In the case of partial deliveries, only the shipped items will be charged.

6 - Right of Withdrawal

In accordance with Article 52 of the Italian Consumer Code (D.Lgs. 206/2005), implementing Directive 2011/83/EU, you have a 14-day withdrawal period from the date of receipt of your products to exercise your right of withdrawal without having to provide any justification or pay any penalty. Returns must be made in their original condition and complete (packaging, accessories, instructions). You are liable for any diminished value of the goods resulting from handling beyond what is necessary to establish their nature and characteristics. Return shipping costs are your responsibility unless stated otherwise. If you exercise your right of withdrawal, OGA will refund the amounts paid within 14 days of receiving your notification, using the same payment method used for the original order.

Exceptions to the Right of Withdrawal

In accordance with Article 59 of the Italian Consumer Code (D.Lgs. 206/2005) / Article 16 of Directive 2011/83/EU, the right of withdrawal does not apply to:

• The supply of services fully performed before the end of the withdrawal period, where performance began after the consumer's express prior consent and express waiver of their right of withdrawal.
• The supply of goods or services whose price depends on fluctuations in the financial market beyond OGA's control and likely to occur during the withdrawal period.
• The supply of goods made to the consumer's specifications or clearly personalized.
• The supply of goods liable to deteriorate or expire rapidly.
• The supply of goods which have been unsealed by the consumer after delivery and which cannot be returned for reasons of hygiene or health protection.
• The supply of goods which, after delivery, are, by their nature, inseparably mixed with other items.
• The supply of audio or video recordings or computer software which have been unsealed by the consumer after delivery.
• The supply of a newspaper, periodical, or magazine, except for subscription contracts.
• Transactions concluded at a public auction.
• The supply of digital content not supplied on a tangible medium where performance has begun after the consumer's express prior consent and waiver of withdrawal rights.

7 - Availability

Our products are offered as long as they are visible on euwest.ternbicycles.com and while stocks last. For products not in stock, our offers are valid subject to availability from our suppliers. If a product becomes unavailable after you have placed your order, we will inform you by email. Your order will be automatically canceled and no payment will be taken.

8 - Delivery

Products are delivered to the address specified during the order process, within the period stated on the order confirmation. If a delay occurs, we will notify you by email.

Pursuant to Article 61 of the Italian Consumer Code (D.Lgs. 206/2005) and applicable EU consumer laws, in the event of a delay, you must grant us an additional, reasonable grace period to fulfill the delivery. If the product is not delivered within this additional period, you have the right to terminate the order, and we will issue a full refund without undue delay.

Risk of loss passes to the consumer upon physical delivery. OGA shall not be liable for delivery failures caused solely by the customer's failure to cooperate or accept delivery after multiple documented attempts by our carrier.

9 - Warranty

All our products are covered by the legal guarantee of conformity (Articles 128–135 of the Italian Consumer Code, D.Lgs. 206/2005) and the guarantee against hidden defects (Articles 1490–1496 of the Italian Civil Code). In the event of a product's non-conformity, it may be returned, exchanged, or refunded. All claims, requests for exchange or refund must be made by email within 30 days of delivery. Products must be returned to us in the condition in which you received them, with all components (accessories, packaging, instructions, etc.). Shipping costs will be refunded based on the invoiced rate, and return shipping costs will be refunded upon presentation of proof of payment. The provisions of this Article do not prevent you from exercising your right of withdrawal as provided for in Article 6.

10 - Liability

The products offered comply with current Italian and EU legislation. OGA cannot be held liable for non-compliance with the legislation of the country where the product is delivered. It is your responsibility to check with local authorities regarding the import or use of the products or services you intend to order. OGA cannot be held liable for damages resulting from misuse of the purchased product, nor for any inconvenience or damage inherent to the use of the internet, including service interruptions, external intrusions, or the presence of computer viruses.

11 - Applicable Law in Case of Disputes

These terms and conditions of sale are governed by Italian law. In the event of a dispute, and without prejudice to any mandatory consumer protection rules applicable in the consumer's country of residence, the courts of Milan, Italy shall have jurisdiction.

12 - Intellectual Property

All elements of euwest.ternbicycles.com are and remain the exclusive intellectual property of OGA. No one is authorized to reproduce, exploit, redistribute, or use in any way whatsoever, even partially, any elements of the website, whether software, visual, or audio. Any simple or hypertext link is strictly prohibited without the express written consent of OGA.

13 - Personal Data

OGA processes your personal data in accordance with the EU General Data Protection Regulation (Regulation (EU) 2016/679, "GDPR"). This data is necessary for processing your order and improving the services we provide. It may be shared with third parties that support order fulfillment and related services (e.g., logistics, payment processing). Data is retained for as long as necessary to fulfill these purposes and to comply with legal and regulatory obligations.

You have the right to access, rectify, erase, restrict, or object to the processing of your personal data, and the right to data portability, as provided under the GDPR. You may exercise these rights by contacting us at info@ogasrl.com. You also have the right to lodge a complaint with your local data protection supervisory authority.

14 - Archiving and Proof

OGA will archive order forms and invoices on a reliable and durable medium, constituting a faithful copy for record-keeping purposes. OGA's computerized records will be considered by all parties concerned as proof of communications, orders, payments, and transactions between the parties.
